A Software Source Code Escrow is an arrangement by which the licensor "INSOURCE" deposits the source code of its software application "DATA ACADEMY" into an account held by a third party escrow agent. This agreement entitles the licensee "YOUR ORGANIZATION" to gain access to the software source code in the unlikely event that the software stops being developed or if the licensor goes out of business.
Is There any Usage Restriction?
Upon release, some restrictions apply to the usage of the software source code. The released source code can only be used to maintain Data Academy in support of ongoing business operations. The licensee does not get the rights of ownership to the software source code and he or she may not use it to create a product and sell it to a third party. Moreover, the software may not be sub-licensed to third parties.
